Terms & Conditions

1. Parties

These Terms & Conditions ("Terms") govern the relationship between AgileCatalyst.AI Ltd, a company incorporated in the Dubai International Financial Centre (DIFC), Dubai, UAE ("DouJou", "we", "us") — the owner and operator of the DouJou platform — and any individual or entity ("Client", "you") that accesses or uses the DouJou platform or website at doujou.ai. These Terms, together with any applicable order form or pilot agreement, constitute the entire agreement between the parties and supersede all prior representations, negotiations, understandings, and communications, whether written or oral.

2. Platform & Services

DouJou is an enterprise AI cloud platform providing sovereign AI infrastructure, AWS resource cataloguing, hallucination detection, and related services, developed and owned by AgileCatalyst.AI Ltd. Access is provided on an invite or pilot basis. All capabilities are described in the platform documentation and applicable order forms.

3. Account & Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately at compliance@agilecatalyst.ai of any unauthorised access. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to:

  • Use the platform for any unlawful purpose or in violation of applicable regulations.
  • Attempt to reverse-engineer, copy, or extract the platform's source code or models.
  • Upload or process data that infringes third-party intellectual property or violates data protection laws.
  • Use the platform to train competing AI systems without prior written consent.

5. Data & Sovereignty

DouJou is designed for sovereign deployment inside your own cloud environment (VPC). Where AgileCatalyst.AI Ltd processes your data in a shared or managed environment, we act as a data processor under your instructions. You remain the data controller for all Client data and are responsible for ensuring lawful processing under applicable law.

6. Intellectual Property

The DouJou platform, including its software, models, and methodology, is proprietary to AgileCatalyst.AI Ltd. Nothing in these Terms transfers ownership of any platform intellectual property to you. You retain full ownership of all data you bring to the platform.

7. Fees & Payment

Fees are specified in the applicable order form or pilot agreement. Invoices are due within 30 days of issuance. Late payments accrue interest at 18% per annum (1.5% per month) from the due date. We reserve the right to suspend access for overdue accounts. Pilot participants may access the platform at no charge for the agreed pilot period. Upon termination for any reason, the Client shall pay all fees for services rendered to the termination date.

8. Limitation of Liability

To the fullest extent permitted by applicable law, our total aggregate liability shall not exceed the fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunity arising from platform use.

Nothing in these Terms limits or excludes liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by negligence; (c) gross negligence or wilful misconduct; or (d) any other liability that cannot be excluded or limited under applicable DIFC law.

9. Warranties & Disclaimers

The platform is provided with reasonable professional care and skill. We do not warrant uninterrupted availability or error-free operation. AI-generated outputs are provided for informational purposes; you are responsible for validating them before relying on them for business decisions.

10. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations to the extent caused by circumstances beyond its reasonable control, including acts of God, pandemic, war, civil unrest, government action, or failure of third-party cloud infrastructure ("Force Majeure Event"). The affected party must notify the other in writing within 5 business days. If the event continues for more than 60 days, either party may terminate the affected agreement without penalty, subject to payment for services rendered.

11. Termination

Either party may terminate with 30 days' written notice. We may terminate immediately for material breach of these Terms, including misuse of the platform, if the breach is not cured within 14 days of written notice. Upon termination, your access will be revoked and we will facilitate export of your data for 30 days.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the DIFC, Dubai, UAE. The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice. If unresolved, either party may elect to refer the dispute to: (a) the DIFC Courts of First Instance; or (b) arbitration administered by the Dubai International Arbitration Centre (DIAC) under its applicable rules, with the seat of arbitration in Dubai and proceedings conducted in English. For undisputed claims below AED 500,000, the DIFC Small Claims Tribunal may be used.
